Terms of Use

Effective Date: February 26, 2026

IMPORTANT: These Terms of Use constitute a legally binding agreement between you and Streampipe. By accessing or using the Streampipe website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the website or submit any application.

1. Definitions and Interpretation

In these Terms of Use, the following definitions apply unless the context requires otherwise:

  • "Streampipe," "we," "us," or "our" refers to Streampipe Corporation and its affiliates, officers, directors, employees, and agents.
  • "Website" refers to the Streampipe website, including all pages, subdomains, and associated web properties accessible via HTTPS.
  • "Services" refers to any services offered through or in connection with the Website, including but not limited to the membership application process, account creation, platform features, and any tools or resources provided to users.
  • "User," "you," or "your" refers to any individual or entity accessing or using the Website or Services, including applicants for membership.
  • "Application" refers to the membership application form and all information, data, and materials submitted by a User through the Website's multi-step application process.
  • "Personal Data" has the meaning given to it under the EU General Data Protection Regulation (GDPR) and, where applicable, includes "personal information" as defined by applicable U.S. state privacy laws.
  • "Content" refers to all text, data, information, images, links, and other materials submitted by Users through the Website.

2. Acceptance of Terms

By accessing or using the Website, clicking any "Next Step," "Save Changes and Next," or similar submission button, or by submitting an Application, you expressly agree to these Terms of Use, our Privacy Policy, and any other policies or guidelines referenced herein. These Terms apply to all visitors, users, and others who access or use the Website.

We reserve the right to update, modify, or replace any part of these Terms at our sole discretion. Material changes will be communicated by posting the revised Terms on the Website with an updated effective date. Your continued use of the Website after such changes constitutes acceptance of the modified Terms.

3. Eligibility

You represent and warrant that you are at least eighteen (18) years of age, or the age of majority in your jurisdiction, whichever is greater. If you are using the Website on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms.

You further represent and warrant that you are not prohibited from using the Services under any applicable law, regulation, or order, and that your use of the Website does not violate any applicable law in your jurisdiction.

4. The Application Process

4.1 Information Collected

When you submit an Application through the Website, you will be asked to provide, among other things: your first and last name; your email address; your primary social media profile links; a written statement describing why you are a good fit for the Streampipe platform; and details of brands you have partnered with, including company names, website URLs, campaign links, and contact person information (name and email).

4.2 Accuracy of Information

You represent and warrant that all information provided in your Application is true, accurate, current, and complete. You agree not to misrepresent your identity, qualifications, experience, or any brand relationships. Providing false, misleading, or fraudulent information is grounds for immediate rejection of your Application and, if applicable, termination of any membership granted.

4.3 Third-Party Information

By providing information about third parties (such as brand contact persons), you represent and warrant that you have obtained all necessary consents from those third parties to share their information with Streampipe, and that such sharing complies with all applicable privacy laws and regulations, including the GDPR and applicable U.S. state privacy laws.

4.4 No Guarantee of Acceptance

Submission of an Application does not guarantee acceptance into the Streampipe platform. We reserve the sole and absolute discretion to accept, reject, or request additional information regarding any Application, without obligation to provide reasons for our decision.

5. Data Protection and Privacy

5.1 Data Controller

Streampipe acts as the data controller for Personal Data collected through the Application process and use of the Website.

5.2 Lawful Basis for Processing (GDPR)

We process your Personal Data on the following lawful bases under Article 6 of the GDPR: (a) your consent, where you have provided it; (b) the performance of a contract or steps taken at your request prior to entering into a contract; (c) compliance with legal obligations to which we are subject; and (d) our legitimate interests, provided such interests are not overridden by your fundamental rights and freedoms.

5.3 Data Collected and Purpose

We collect and process the Personal Data you provide in your Application for the following purposes: evaluating your membership application; communicating with you regarding your application status; verifying the information you have provided, including brand partnership claims; administering and improving the Website and Services; and complying with legal and regulatory obligations.

5.4 Data Retention

We retain your Personal Data only for as long as is necessary to fulfill the purposes for which it was collected, or as required or permitted by applicable law. If your Application is not accepted, we will retain your data for a period not to exceed twelve (12) months from the date of rejection, after which it will be securely deleted or anonymized unless a longer retention period is required by law.

5.5 Data Subject Rights (EU/EEA Users)

If you are located in the European Union or European Economic Area, you have the following rights under the GDPR: the right of access to your Personal Data; the right to rectification of inaccurate data; the right to erasure ("right to be forgotten"); the right to restriction of processing; the right to data portability; the right to object to processing; and the right to withdraw consent at any time, without affecting the lawfulness of processing carried out before withdrawal. To exercise any of these rights, please contact us using the details provided in Section 16.

5.6 U.S. State Privacy Rights

If you are a resident of a U.S. state with applicable consumer privacy legislation (including, but not limited to, California, Virginia, Colorado, Connecticut, and other states with enacted privacy laws), you may have additional rights, including the right to know what Personal Data is collected, the right to request deletion, the right to opt out of the sale or sharing of Personal Data, and the right to non-discrimination for exercising your rights. We do not sell your Personal Data. For inquiries, contact us as described in Section 16.

5.7 International Data Transfers

Your Personal Data may be transferred to and processed in countries outside the European Economic Area or your country of residence. Where such transfers occur, we will ensure that appropriate safeguards are in place, including Standard Contractual Clauses approved by the European Commission, or other legally recognized transfer mechanisms, to protect your data in accordance with applicable law.

5.8 Security

All data submitted through the Application process is transmitted via HTTPS (TLS/SSL encryption). We implement reasonable administrative, technical, and physical safeguards designed to protect your Personal Data from unauthorized access, use, alteration, or destruction. However, no method of electronic transmission or storage is completely secure, and we cannot guarantee absolute security.

6. Intellectual Property

All content, design, graphics, logos, trademarks, service marks, trade names, text, software, and other materials displayed on or available through the Website (collectively, "Streampipe Materials") are the property of Streampipe or its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any Streampipe Materials without our prior written consent.

You retain ownership of the Content you submit through the Application. However, by submitting Content, you grant Streampipe a non-exclusive, worldwide, royalty-free, fully paid-up license to use, reproduce, store, and process such Content solely for the purposes of evaluating your Application and administering the Services.

7. User Conduct

You agree that you will not: use the Website for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation; submit any Content that is false, misleading, defamatory, obscene, threatening, or otherwise objectionable; impersonate any person or entity or falsely represent your affiliation with any person or entity; attempt to gain unauthorized access to any portion of the Website, other users' accounts, or any systems or networks connected to the Website; interfere with or disrupt the integrity or performance of the Website or the data contained therein; use any automated means, including bots, scrapers, or crawlers, to access the Website without our express written permission; or submit multiple Applications under different identities or with falsified information.

8. Third-Party Links and Content

The Website may contain links to third-party websites or services, and your Application may include links to your social media profiles, brand websites, or campaign pages. Streampipe does not control and is not responsible for the content, privacy practices, or availability of any third-party sites or services. The inclusion of any link does not imply endorsement by Streampipe. You access third-party content at your own risk.

9. Disclaimers

THE WEBSITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STREAMPIPE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. STREAMPIPE DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be lawfully excluded.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STREAMPIPE, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF STREAMPIPE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STREAMPIPE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE OR SERVICES SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).

The limitations in this section apply to the fullest extent permitted by law in the applicable jurisdiction. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Streampipe and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Website or Services; (b) your breach of these Terms; (c) any Content you submit through the Website, including any third-party information; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party right, including any intellectual property or privacy right.

12. Governing Law and Dispute Resolution

12.1 For U.S.-Based Users

For Users located in the United States, these Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

12.2 For EU/EEA-Based Users

For Users located in the European Union or European Economic Area, these Terms shall be governed by the laws of the country in which you are habitually resident, to the extent mandated by applicable consumer protection regulations. Nothing in these Terms shall deprive you of the protection afforded by mandatory provisions of the law of your country of residence. You may bring proceedings in the courts of the member state in which you are domiciled. You may also be entitled to use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

12.3 For Users in Other Jurisdictions

For Users located outside the United States and the EU/EEA, these Terms shall be governed by the laws of the State of Delaware, USA, to the extent not overridden by mandatory local consumer protection laws in your jurisdiction.

13. Cookies and Tracking Technologies

The Website may use cookies and similar tracking technologies to enhance your experience, analyze usage, and improve the Website. By using the Website, you consent to the use of cookies in accordance with our Cookie Policy. EU/EEA users will be presented with a cookie consent mechanism in compliance with the ePrivacy Directive and applicable local implementing legislation. You may manage your cookie preferences through your browser settings or through the cookie consent tool provided on the Website.

14. Termination and Suspension

We reserve the right to suspend or terminate your access to the Website and Services, in whole or in part, at any time and for any reason, including but not limited to a breach of these Terms, with or without notice. Upon termination, your right to use the Website ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6, 9, 10, 11, 12, and 15.

15. Miscellaneous Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Streampipe regarding the use of the Website and Services and supersede all prior agreements, understandings, and communications, whether written or oral.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

15.3 Waiver

The failure of Streampipe to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Streampipe.

15.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Streampipe may assign these Terms without restriction. Any purported assignment in violation of this section shall be null and void.

15.5 Force Majeure

Streampipe shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, labor disputes, internet or telecommunications failures, or power outages.

15.6 No Agency

Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Streampipe. You have no authority to bind Streampipe in any manner.

15.7 Headings

The section headings in these Terms are for convenience only and shall not affect the interpretation of any provision.
